General Terms and Conditions

§ 1 Fundamentals – Scope and Basic Provisions

1. Scope These terms and conditions apply to all contracts concluded with us as provider (Hummel GmbH & Co. KG, Hutwiesenstr. 20, 71106 Magstadt, Germany – hereinafter: "we" or "us") via the website labelty.com. Labelty is a brand of Hummel GmbH & Co. KG. 2. Target Group Our offer is aimed exclusively at entrepreneurs within the meaning of § 14 BGB, legal entities under public law or special funds under public law. Sales to consumers within the meaning of § 13 BGB do not take place. 3. Deviating Conditions Deviating, conflicting or supplementary general terms and conditions do not become part of the contract unless their validity is expressly agreed in writing. 4. Contract Language The contract language is exclusively German.

§ 2 Contract Formation – Offer and Contract Processing

1. Subject of Contract The subject of the contract is the sale of goods, in particular roll labels, shipping materials, Herma labels, business papers and individually manufactured printed products. 2. Offer and Contract Formation By displaying the products in our online shop, we make a binding offer to conclude a contract. The contract is concluded via the online shopping cart system or by accepting an individually created offer from us. 3. Order Processing The processing of the order and the transmission of all contract-relevant information is done by email, partly automated. The customer must ensure that the email address provided is correct and that receipt of emails is guaranteed.

§ 3 Custom Products and Tolerances – Special Productions and Permissible Deviations

1. Customer Obligations For individually designed goods (e.g. printed labels, special productions), the customer is obliged to provide us with the required data, content and specifications according to our specifications in a timely manner. Any specifications regarding file formats, color space, resolution, etc. must be observed. 2. Data Rights The customer assures that they are entitled to use and pass on all transmitted data and indemnifies us from all third-party claims in this regard. 3. Production Tolerances Due to production, the following deviations may occur with printed products and labels, which are considered contractual: • Over- or under-deliveries of up to 10% of the ordered quantity • Minor color and dimensional deviations within the state of the art • Deviations in material and design, provided they are customary in the trade These tolerances do not entitle to complaints or reduction of the purchase price. 4. Exclusions Individually manufactured goods are excluded from exchange, return and cancellation, unless there is a material defect within the meaning of § 434 BGB.

§ 4 Special Agreements on Payment Methods – Payment Methods and Conditions

1. Available Payment Methods The payment methods offered are shown in the online shop. 2. Payment Service Provider Payment processing is handled by the payment service "Mollie" (Mollie B.V., Keizersgracht 313, 1016 EE Amsterdam, Netherlands). The individual payment methods offered via Mollie (e.g. PayPal, Klarna, credit card, SEPA direct debit) are communicated in our online shop. Mollie may use additional payment services for payment processing, for which special payment conditions may apply, which the customer will be notified of separately. Further information about Mollie is available at https://www.mollie.com/. 3. Payment Conditions Payment of the purchase price is due immediately upon conclusion of the contract. If the due date of payment is determined by the calendar, the customer is already in default by missing the deadline. In this case, the customer must pay us default interest of 9 percentage points above the base interest rate per year (§ 288 para. 2 BGB). 4. Default Damages The customer's obligation to pay default interest does not exclude our assertion of further default damages.

§ 5 Retention of Title, Assignment – Property Rights and Claim Assignment

1. Retention of Title The delivered goods remain our property until full payment of all claims from the business relationship. 2. Resale Rights Within the ordinary course of business, the customer is entitled to resell the goods. The customer hereby assigns to us the claims arising from the resale in the amount of the invoice amount. We accept this assignment.

§ 6 Warranty / Liability – Liability Limitations and Warranty Conditions

1. Statutory Warranty The statutory defect liability rights apply with the following restrictions: 2. For Entrepreneurs • Only our product information and any manufacturer descriptions are considered as the condition of the goods • In case of warranty, we choose between repair or replacement delivery • The warranty period is 12 months from delivery • Tolerances according to § 3 are considered contractual and do not entitle to complaints • For trade goods (e.g. Herma labels, shipping boxes) the manufacturer warranties and conditions apply 3. Claims for Damages Claims for damages – regardless of the legal grounds – are limited to intent and gross negligence. Excluded from this are damages from injury to life, body or health, as well as in case of assumption of a guarantee or in case of fraud.

§ 7 Delivery and Shipping – Shipping Conditions and Transfer of Risk

1. Delivery Conditions The delivery conditions, delivery times and any delivery restrictions are stated in the offer or on the respective product page. 2. Transfer of Risk The risk passes to the customer upon handover to the carrier/freight forwarder.

§ 8 Returns and Complaints – Returns and Defect Notifications

1. Return Policy There is generally no right of return, except for justified complaints according to § 6 or by separate written agreement. As a goodwill gesture, however, we accept standard goods within 10 working days after delivery, provided they are unused and in perfect, resalable condition. 2. Complaint Procedure Please report complaints about defects or transport damage to us within 7 working days after receipt of goods, if possible with photos for documentation. We will promptly review your concern and offer a solution. 3. Return Shipping Costs The customer bears the return shipping costs, unless the return is due to an error on our part. Please contact our customer service before any return to coordinate the return.

§ 9 International Deliveries – International Shipping and Customs Regulations

1. International Shipping We also deliver our goods to other countries, including Switzerland. Delivery times, shipping costs and possible delivery restrictions may vary depending on the destination country and are individually stated in the offer or online shop. 2. Additional Costs In addition to shipping costs, additional costs may arise in the recipient country (e.g. customs, taxes, import duties), which are to be borne by the customer. 3. EU Deliveries For deliveries to European Union countries, a tax-free intra-Community delivery only takes place if a valid VAT identification number (VAT ID) is provided and successfully verified by the customer. If no or incorrect information is provided, we charge German VAT. 4. Customer Responsibility The customer is responsible for compliance with all legal import, tax and customs regulations of the destination country.

§ 10 Jurisdiction, Place of Performance, Choice of Law – Legal Provisions and Competencies

1. Applicable Law Exclusively German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. 2. Jurisdiction The place of performance and jurisdiction for all claims arising from or in connection with this contract is our registered office, insofar as legally permissible.

Payment Terms Payment methods and due dates are specified in § 4 as well as in the offer or online shop. 6. Delivery Conditions Delivery conditions, delivery times and shipping costs are stated in the online shop or offer. 7. Note on Dispute Resolution We sell exclusively to entrepreneurs.
